As part of the firm’s Corporate and Commercial Department, Ignatius has been involved in a wide variety of commercial matters/transactions, including mergers and acquisitions and joint ventures and employment and data protection matters. Apart from his core Singapore work, Ignatius is also a key member of the firm’s regional practice groups and regularly assists clients with their legal requirements in Vietnam and Myanmar, by supervising and collaborating with the firm’s local-qualified lawyers in these jurisdictions.
Type of work
The following is a description of the type of work that Ignatius undertakes on a regular basis.
a) Drafting and review of a wide range of commercial agreements, including share purchase agreements, investment/share subscription agreements, joint venture agreements, business partnership/collaboration agreements, distribution and franchising agreements, facility/loan agreements and security documents, employment agreements, lease agreements, privacy policies and framework agreements in relation to complex transactions.
b) Conducting legal due diligence on target companies for various purposes, including in connection with a private M&A transaction and the proposed listing on a stock exchange.
c) Providing legal advisories and formal legal opinions in relation to a wide range of issues.
d) Assisting in the completion/closing of private M&A transactions, including monitoring and assisting with the fulfilment of conditions precedents prior to or on closing, assisting with the drafting or review of completion deliverables, attending/facilitating closing itself, and rendering legal advice in relation thereto.
e) Assisting in the incorporation/establishment of foreign-owned subsidiaries and branch and representative offices in Vietnam and Myanmar.
