BENJAMIN YAP

Resident Partner, Ho Chi Minh City Office

Areas of Practice: Mergers and Acquisitions, Investment Advisory, Joint Ventures, Foreign Investment, Corporate Secretarial, Corporate Governance, Company Advisory, Company Regulatory, Partnerships, Employment and Labor Law.

Prior to joining Kelvin Chia Partnership, Benjamin worked for a government-linked company as its in-house counsel. It was there that he embarked upon his corporate career, gaining experience in joint ventures, shareholder agreements, financing transactions, sale and purchase of goods and services, distributorship and agency agreements and employment and service contracts. Benjamin thereby acquired a good understanding of the business environment and appreciates the importance of meeting the commercial needs of the firms’ clients.

Before undertaking his current role as Resident Partner of our Ho Chi Minh Office in Vietnam, Benjamin was the partner responsible for the firm’s corporate secretarial practice, and advised on a wide range of corporate compliance, governance, securities and listing issues. Benjamin also handled much of the advice which the firm was required to provide on share options and share schemes, and advised on securities law, employment, tax and other legal considerations associated with such options and schemes. Benjamin has also worked on a number of mergers and acquisitions projects.

In 1995, having succeeded in establishing a very successful practice in Singapore, Benjamin was selected to be our Resident Partner in Ho Chi Minh City in view of his extensive experience in managing difficult transactional issues.

Since taking the helm in our Ho Chi Minh City office, Benjamin has been involved in many Vietnam related business transactions and investments. These transactions and investments include the establishment of representative and branch offices, the establishment of 100% foreign owned and joint venture enterprises, business cooperation arrangements, distribution and agency arrangements, licensing agreements, technology transfer, technical assistance and information technology agreements, mergers and acquisitions, conduct of due diligence exercises and preparations of due diligence reports, sale of companies and businesses, assets and undertakings, land use rights, leasing of land and buildings and other property related transactions, employment and labour law matters and regulatory compliance and advisory services.

Benjamin has also participated in and spoken at a number of conferences and seminars on legal and investment issues relating to Vietnam.
